Contract Agreement-

This agreement is for a portrait session booking. Dates and times for this agreement were agreed upon and booked via the Ashley Lynn Photography website by the client.

This Agreement is subject to all the terms and conditions appearing below.

Terms and Conditions

1. Payment- Total fees are required upon booking a portrait session in order to reserve your session date. Fees will not be refunded after booking. Travel fees may apply if session location is farther than one hour total driving time for photographer. All fees and contract are due before portrait session. The Client shall pay total fees to retain the Photographer to perform the services specified herein. After the photo session is complete the client will receive an online gallery to view images, download images and order products. Images will be posted 3-4 weeks after photo session.

2. Client’s Usage- The Client is obtaining prints, products and digital photographs for personal use only. The Client is purchasing the digital images and they will have copyright privileges to make additional prints for personal use only. This contract may be used as a copyright release when creating additional prints through an outside source.

3. Cancellation/Late- If the Client cancels this Agreement after paying the fees, fees will not be returned, but the client will not have any further obligations. Session may be rescheduled for poor weather conditions that would cause danger to Client, Photographer or would damage Photographer's equipment. The Photographer has the final say in the rescheduling of a session.
If a client needs to reschedule for any other reason there will be a $150 rescheduling fee.
If a Client is late for their scheduled session, then the number of minutes they are tardy will be subtracted from their session time. If the Photographer is late to a session, then the Client's will be compensated by adding the number of minutes the Photographer was tardy, to the end of their session time.

4. Photographic Preview & Ordering- Client’s photo gallery will remain online for 3 months or until the end of that calendar year, whichever comes later. Client must place their product order and use all prepaid product credits within this time frame. Once gallery expires a re-posting fee of $50 may be required.
There is a $100 minimum for any product orders placed. Any purchases plus tax and shipping fees must be paid when placing order.
Clients may be able to place another order at a later date, but will require a minimum order of $100 before sales tax and shipping fees.

5. Copyright and Reproductions. The Photographer shall own the copyright for all images created and shall have the exclusive right to make reproductions. The Photographer shall make reproductions for the Client and Client's family when purchased and for the Photographer’s portfolio, samples, self-promotions, entry in photographic contests or art exhibitions, editorial use, publication online for websites, blogs and printed publications or for display at any advertising events the Photographer may participate in. The Photographer may use these images in any other ways, not mentioned above to market for their business.

6. Failure to Perform.
If the Photographer cannot perform this Agreement due to a fire or other casualty, strike, act of God, or other cause beyond the control of the parties, or due to the Photographer’s illness, then the photo session may be rescheduled if possible or the Photographer shall return any fees paid by Client, to the Client, but shall have no further liability with respect to the Agreement. This limitation on liability shall also apply in the event that photographic materials are damaged in processing, lost through camera malfunction, lost in the mail, or otherwise lost or damaged without fault on the part of the Photographer.
In the event the Photographer fails to perform for any other reason, the Photographer shall not be liable for any amount in excess of the retail value of the Client’s order.

7. Location. Clients agree to treat all session locations with respect. Any Client(s) acting in an inappropriate or unsafe way will be asked to leave the session, with no refund or further obligation from the Photographer or location owner. The Photographer and location owner shall be held harmless for any and all injury to Clients during the course of the photography session and the immediately surrounding events. In the event that the Client wants compensation for any injury, harm or for any other reason not listed here, for events that take place during the session or in the immediate surrounding events, the location owner shall not be liable for any amount and the Photographer will not be liable for any amount in excess of the paid retail value of the Client's session fee.

8. Inherent Qualities.
Client is aware that color dyes in photography may fade or discolor over time due to the inherent qualities of dyes, and Client releases Photographer from any liability for any claims whatsoever based upon fading or discoloration due to such inherent qualities.

9. Photographer’s Standard Price List.
The charges in this Agreement are based on the Photographer’s Standard Price List. This price list is adjusted periodically and future orders shall be charged at the prices in effect at the time when the order is placed.

10. Photo Editing & Style.
Original photographs are not included, only edited photographs in JPG form. Photographer retain the right to edit the photographs and omit any image. It is understood that Photographer will not deliver every exposure taken. Client agrees to abide by Photographer’s editing decisions. Photographer will edit the images in their preferred photographic style, as the photographs are considered their artwork and creation. Any additional edits ask for by Client after the gallery is complete will only be done at the discretion of the photographer and there will be a fee for additional edits depending on the time needed to complete.
Client agrees that when publishing photos on websites, i.e. personal website, Facebook, etc., client will not edit the photos in any way, i.e.
editing the watermark, cropping, filters, etc.

11. Miscellany. This Agreement incorporates the entire understanding of the parties.
Any modifications of this Agreement must be in writing and signed by both parties.
Any waiver of a breach or default hereunder shall not be deemed a waiver of a subsequent breach or default of either the same provision or any other provision of this Agreement.

This Agreement shall be governed by the laws of the State of Ohio.
The parties have read all of this Agreement, agree to all its terms, and acknowledge receipt of a complete copy of the Agreement signed by both parties.
